By accessing or using the Valley Produce General Trading LLC website and services, you confirm that you are a registered business entity and agree to be bound by these Terms of Service. If you do not agree, please discontinue use of our services immediately.

B2B Services Only

Our services are exclusively available to registered businesses, retailers, wholesalers, and HORECA operators. We do not supply directly to individual consumers. By using our services, you represent that you are acting on behalf of a legitimate business entity.

Modifications

Valley Produce reserves the right to update these Terms at any time. Continued use of our services after changes are posted constitutes acceptance of the revised Terms. We will notify registered partners of material changes via email.

Order Placement

All orders must be placed through our official channels (email, WhatsApp, or our sales team). Orders are subject to product availability, minimum order quantities (MOQs), and credit approval.

Pricing & Payment

All prices are quoted in UAE Dirhams (AED) and are exclusive of VAT unless stated otherwise. Payment terms are agreed upon at the time of account setup. Valley Produce reserves the right to adjust pricing with reasonable notice.

Delivery & Logistics

Delivery timelines are estimates and may vary based on location, product availability, and logistics conditions. Valley Produce is not liable for delays caused by third-party logistics providers, customs, or force majeure events.

Returns & Disputes

Claims for damaged, defective, or incorrect goods must be raised within 48 hours of delivery with photographic evidence. Approved returns are subject to our returns policy communicated at the time of account registration.

Our Content

All content on this website — including text, images, logos, product photography, and design — is the property of Valley Produce General Trading LLC or its licensors and is protected by UAE and international copyright laws.

Brand Assets

Product images and brand assets displayed on our website belong to their respective brand owners (e.g., Warheads, Liquid IV, Takis). Use of these assets requires written permission from the respective brand owners.

Permitted Use

You may not reproduce, distribute, modify, or create derivative works from our website content without prior written consent from Valley Produce General Trading LLC.

No Warranties

Our website and services are provided "as is" without warranties of any kind, express or implied. We do not guarantee uninterrupted access to our website or that it will be free from errors or viruses.

Liability Cap

To the maximum extent permitted by UAE law, Valley Produce's total liability for any claim arising from our services shall not exceed the value of the specific order giving rise to the claim.

Indirect Damages

Valley Produce shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, business interruption, or loss of data, even if advised of the possibility of such damages.

Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes may be referred to arbitration under the Dubai International Arbitration Centre (DIAC) rules.

Compliance

You agree to comply with all applicable UAE laws and regulations in connection with your use of our services, including but not limited to trade licensing, VAT registration, and food safety regulations.

Right to Modify

Valley Produce General Trading LLC reserves the right to modify these Terms of Service at any time. We will post the updated Terms on this page with a revised "Last Updated" date.

Notification

For material changes that significantly affect your rights or obligations, we will notify registered B2B partners via email at least 14 days before the changes take effect.

Continued Use

Your continued use of our website or services after the effective date of any changes constitutes your acceptance of the revised Terms of Service.
